Corporate Governance Challenges

In group structures, the parent company often seeks to control and implement group wide corporate governance policies. This may not always go well with the boards of group companies when there are conflicts of interests between the parent company and subsidiaries or associated companies.

Certain jurisdictions allow the directors of a group company to act in the interests of the group (subject to certain conditions). For example, if the board’s decisions and actions are balanced by future advantages arising from being part of the group.
